Aleksandra Mikołajczyk-Bonarek

Legal advisor. Her practice focuses on corporate and transactional services for business entities. She specializes in due diligence processes and legal advice for parties to M&A and asset purchase transactions. Aleksandra has experience in projects that involve mergers, de-mergers and transformations of commercial companies. She also provides day-to-day legal services for businesses in contract matters.

- Advised ORLEN S.A. and its subsidiary ORLEN Wind 3 Sp. z o.o. on the purchase from EDP Renewables Polska Sp. z o.o. of SPVs that owned three wind farms in the Wielkopolska region with a total capacity of over 142 MW and additional photovoltaic capacity developed through cable pooling
- Advised on share purchase processes in commercial companies active in the renewables sector, including transaction documents
- Advised on share purchase processes in commercial companies active in the fitness sector, including transaction documents
- Advised on due diligence processes for commercial companies, especially those active in the renewable energy industry
- Advised on projects that involved transformations of companies and partnerships, including commercial companies active in the medical sector
- Provided legal support to a major Polish bank in drafting documents for financing transactions
- Advised members of the Polpharma Biologics group on day-to-day corporate matters and contract matters
- Advised members of the Mondi group on day-to-day corporate matters and contract matters
- Drafted documents for transactions on a regulated market, including squeeze out deals
- Conducted a legal due diligence on wind farm and PV projects and companies in connection with the acquisition of their shares by major Polish and international energy companies
