Joanna Nowak-Paradowska
She has almost twenty years of experience in the broadly understood area of energy, both in regulatory matters and in projects. Joanna has participated in a number of financings, including project finance transactions, and worked primarily for the investor side as regards designing and negotiating the transaction structure and drafting project and finance documents, and transactions relating to the construction (EPC), operation and maintenance (O&M, LTSA) of energy facilities. She advises clients on contracts relating to the energy sector (agreements for transmission, distribution and sale of electricity, heat, fuel gas and other fuels, including PPA). She also provides regulatory advice, including advice on licences, tariffs, support schemes and obligations of energy companies, and disputes.
With our law firm since 2005. Previously, she was an in-house lawyer at Polenergia S.A. (2003-2005) and E.ON Polska Sp. z o.o. (2001-2003).

- Advised ORLEN S.A. and its subsidiary ORLEN Wind 3 Sp. z o.o. on the purchase from EDP Renewables Polska Sp. z o.o. of SPVs that owned three wind farms in the Wielkopolska region with a total capacity of over 142 MW and additional photovoltaic capacity developed through cable pooling
- Advised a client on its obligations arising from the licensed activity of liquid fuel storage and transshipment, trading in liquid fuels, international trading in liquid fuels, production of liquid fuels, trading in gaseous fuels and trading in electricity
- Advised an energy group operating wind farms on the conclusion of long-term operation and maintenance agreements (O&M) for two wind farms
- Represented PKN ORLEN S.A. in relation to concluding a contract for modernization of turbine generator set TG1 in the CHP in Płock (EPC), and a long-term support service for the turbine generator set (LTSA)
- Conducted a legal due diligence on wind farm and PV projects and companies in connection with the acquisition of their shares by major Polish and international energy companies
- Advised an international company active in the photovoltaic industry on the drafting of EPC contracts for the construction of photovoltaic farms
- Represented Zespół Elektrowni Pątnów-Adamów-Konin S.A. in the financing and construction (EPC) of a 460 MW lignite-fired power unit, execution and settlement of the investment project, and drafting of the unit maintenance contract for the post-warranty period (LTSA)
- Advised Zespół Elektrowni Pątnów-Adamów-Konin S.A. in the process of construction of an around 125 MW gas and steam unit, including drafting of tender documents, EPC contract and LTSA
- Advised a client who was a subcontractor at the construction of two units with a capacity of 900 MW each in Opole and a 1075 MW unit in Kozienice in the process of concluding construction work contracts with the general contractor/contractor
- Advised an electricity producer in the first procedure on the Polish energy market regarding an exemption from the obligation of public trading
- Advised an electricity producer in a dispute with the President of the Energy Regulatory Office related to the adjustment of stranded costs
- Advised an energy company as both defendant and counterclaimant in an action brought by an energy and heat producer regarding an obligation to purchase electricity
- Advised an electricity producer on litigation against a fuel supplier over a long-term fuel supply agreement
- Advised a major energy company on implementing the requirements resulting from MiFID II, REMIT and EMIR
- Authored draft legislation regarding cogeneration, renewable energy and tariffs
- Advised a client on legal regulations regarding carbon capture, utilization and storage (CCUS) technologies
- Advised an energy company on the implementation of CPPAs in its relations with its counterparties in various options
